Please read these Terms carefully before using Sonder. They set out your rights and obligations, what you can expect from us, and the rules that keep this room a good place for everyone.
These Terms of Service (the "Terms") form a legally binding agreement between you ("you" or the "User") and Sonder ("Sonder", "we", "us" or "our") governing your access to and use of the Sonder website, applications and related services (collectively, the "Service").
By creating an account, clicking "I agree", or otherwise accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Community Guidelines (Section 6), which are incorporated by reference. If you do not agree, you must not use the Service.
3.1 You must be at least 16 years old, or the age of digital consent in your jurisdiction if higher, to create an account. By registering you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.
3.2 You agree to provide accurate registration information and to keep it up to date. You may hold only one personal account. Accounts may not be sold, transferred or shared.
3.3 You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly at legal@thesonderaudio.com if you become aware of any unauthorised use of your account.
4.1 The Service is a discovery and listening platform. Episodes are made available by embedding or linking to content that remains hosted on Third-Party Platforms. Sonder does not upload, store, copy, transcode or otherwise host Episode files.
4.2 We may modify, suspend or discontinue any part of the Service at any time. We will use reasonable efforts to give notice of material changes but are not obliged to do so.
4.3 The Service is provided free of charge for personal, non-commercial use unless otherwise agreed in writing.
5.1 Ownership. You retain all right, title and interest in and to your User Content. Nothing in these Terms transfers ownership of your User Content to Sonder.
5.2 Licence to Sonder. By submitting User Content you grant Sonder a worldwide, non-exclusive, royalty-free, sublicensable licence to host, reproduce, display, adapt (for example, to resize artwork) and distribute your User Content on and through the Service, solely for the purpose of operating, promoting and improving the Service. This licence ends when you delete the relevant User Content, except to the extent it has been shared with others and they have not deleted it, or where retention is required by law.
5.3 Your warranties. You represent and warrant that (a) you own or have obtained all rights, licences and permissions necessary to submit the User Content and to grant the licence in Section 5.2; (b) your User Content does not infringe or misappropriate any intellectual property, privacy, publicity or other right of any person; and (c) your User Content complies with these Terms, the Community Guidelines and all applicable laws.
5.4 Responsibility. You are solely responsible for your User Content. We do not endorse any User Content or any opinion expressed in it.

7.1 The Service, including its design, text, graphics, code and the "Sonder" name and logo, is owned by Sonder or its licensors and is protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works of any part of the Service.
7.2 Notice and takedown. We respect the intellectual property rights of others. If you believe that User Content infringes your copyright, send a written notice to legal@thesonderaudio.com containing: (a) identification of the copyrighted work; (b) the URL of the allegedly infringing material on the Service; (c) your contact details; (d) a statement that you have a good-faith belief the use is not authorised by the rights holder, its agent or the law; (e) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the rights holder or authorised to act on their behalf; and (f) your physical or electronic signature.
7.3 We will remove or disable access to material that is the subject of a valid notice and may terminate the accounts of repeat infringers.
8.1 We may, but are not obliged to, monitor User Content. Administrators may at their discretion hide, edit, label or remove any User Content, and may suspend or terminate any account, that they reasonably believe breaches these Terms or the Community Guidelines, or exposes Sonder or any third party to harm or legal liability.
8.2 Where practicable we will tell you why action was taken and give you an opportunity to respond. We are not required to give prior notice where the breach is serious, repeated, or where notice would be unlawful.
9.1 Episodes are embedded from, and links may lead to, Third-Party Platforms that are not controlled by Sonder. Your use of those platforms is governed by their own terms and privacy policies, and Sonder accepts no responsibility for their availability, content, security or practices.
9.2 Embedded players may set cookies or collect data in accordance with the relevant Third-Party Platform's policies. The presence of a link or embed does not imply endorsement by Sonder.
10.1 We collect and process only the personal data necessary to operate the Service: your email address, display name, a cryptographically hashed password, and basic technical logs (such as IP address and browser type) used for security and to keep the Service running.
10.2 We do not sell personal data and do not share it with third parties except (a) with service providers who process data on our behalf under contract; (b) where required by law or a valid legal request; or (c) to protect the rights, property or safety of Sonder, our users or the public.
10.3 You may request access to, correction of, or deletion of your personal data by contacting legal@thesonderaudio.com. Deleting your account permanently removes your profile and your User Content from the Service.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL USER CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SONDER DOES NOT WARRANT THE ACCURACY, COMPLETENESS OR LEGALITY OF ANY USER CONTENT OR OF ANY THIRD-PARTY PLATFORM.
12.1 TO THE FULLEST EXTENT PERMITTED BY LAW, SONDER, ITS OFFICERS, EMPLOYEES, AGENTS AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE OR ANY USER CONTENT OR THIRD-PARTY PLATFORM.
12.2 IN NO EVENT SHALL SONDER'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100).
12.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law. Some jurisdictions do not allow certain exclusions; in those jurisdictions our liability is limited to the maximum extent permitted.
You agree to defend, indemnify and hold harmless Sonder and its officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in any way connected with (a) your User Content; (b) your use of the Service; (c) your breach of these Terms or the Community Guidelines; or (d) your violation of any law or of the rights of any third party.
14.1 You may close your account at any time by contacting legal@thesonderaudio.com or using the account settings when available.
14.2 We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, if required by law, or if we discontinue the Service.
14.3 Sections 5, 7, 11, 12, 13, 16 and 17 survive any termination of these Terms.
We may revise these Terms from time to time. The "last updated" date at the top of this page indicates when the latest changes were made. For material changes we will provide reasonable advance notice, for example by email or by a notice on the Service. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of them. If you do not agree, you must stop using the Service and may close your account.
16.1 These Terms and any dispute or claim arising out of or in connection with them or the Service shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, and applicable federal law of the United States, without regard to conflict-of-law rules.
16.2 Before commencing formal proceedings, the parties shall attempt in good faith to resolve any dispute by negotiation for a period of thirty (30) days following written notice. Failing resolution, the state and federal courts located in the State of Florida, United States of America shall have exclusive jurisdiction, and each party consents to personal jurisdiction there, save that nothing prevents either party from seeking injunctive relief in any competent court, and consumers retain any mandatory rights to bring proceedings in their country of residence.
